Affle’s $420 Million Perion Deal Signals a New Power Shift in Global Advertising Technology

India-based advertising technology company Affle 3i is set to make a major move in the global adtech market with a proposed US$420 million acquisition of Perion Network, an international digital advertising technology business. Announced on November 1, 2026, the all-cash transaction is designed to combine Affle’s mobile advertising and AI-led consumer conversion capabilities with Perion’s presence across connected TV (CTV), retail media, digital out-of-home (DOOH) and other digital channels.

The acquisition could significantly expand Affle’s international footprint and strengthen its position in performance-driven advertising. However, the transaction remains subject to regulatory and shareholder approvals.

A $420 Million Bet on Advertising’s Future

Under the definitive agreement, Affle will acquire all outstanding shares of Perion at US$11.70 per share. The offer values Perion’s equity at approximately US$420 million.

The proposed price represents a 34.5% premium over Perion’s closing share price on October 30, 2026, according to the companies’ announcement.

Perion will become a wholly owned subsidiary of Affle following completion, but it is expected to continue operating under its existing brand. Its shares are expected to be delisted from Nasdaq and the Tel Aviv Stock Exchange once the transaction closes.

The companies expect completion in early 2027, subject to the required approvals and other closing conditions. The agreement also includes a 40-day go-shop period during which Perion can seek and evaluate alternative acquisition proposals.

Bringing Different Advertising Channels Together

The strategic logic behind the transaction lies in the complementary capabilities of the two businesses.

Affle has built its business around mobile advertising, audience intelligence and consumer conversions. Its CPCU model, or Cost Per Converted User, focuses on driving measurable consumer actions rather than simply delivering advertising impressions or clicks.

Perion brings a broader presence across digital advertising environments. Its capabilities include connected television, retail media, digital out-of-home and other digital channels. Its Perion One platform and Outmax AI agent are designed to support advertising execution and campaign optimisation.

Combining these capabilities could help advertisers connect different stages of the consumer journey through a more integrated technology platform.

For example, a brand could use connected-TV advertising to build awareness, retail media to influence shopping decisions and mobile advertising to encourage a final conversion.

Why Connected TV and Retail Media Matter

The advertising industry is moving beyond a model in which television, mobile and commerce advertising operate as separate activities.

Connected TV allows brands to reach audiences through internet-enabled television screens. Retail media gives advertisers opportunities to connect with consumers closer to the point of purchase, while digital out-of-home extends campaigns into physical public environments.

These channels are becoming increasingly important as advertisers look for better ways to connect media investment with business outcomes.

The proposed combination could give Affle access to more advertising environments in developed markets while allowing Perion to benefit from Affle’s mobile performance technology and AI-led capabilities.

The companies also see opportunities to connect CTV and DOOH campaigns with retail commerce outcomes.

AI Moves From Automation to Conversion

Artificial intelligence is an important part of the acquisition strategy.

Both companies are positioning their platforms around improving advertising performance through data, technology and automated decision-making.

Perion’s Outmax AI agent supports campaign execution and optimisation, while Affle’s consumer platform uses AI-led capabilities to improve targeting, engagement and conversions.

The combined business aims to move beyond automating routine advertising operations towards connecting media decisions with measurable consumer actions.

For advertisers, this could mean more coordinated campaigns across devices and channels. However, the actual benefits will depend on technology integration, data quality, measurement standards and the ability to maintain consistent performance across different markets.

What the Deal Means for Affle

Affle believes the acquisition will materially expand its addressable market and strengthen its position in developed markets.

The company has indicated that the combined business could achieve a revenue run rate exceeding US$700 million in FY2028. This is a management projection, not a guaranteed outcome.

Affle has also stated that it expects the acquisition to become earnings-per-share accretive by the end of the first year following completion, based on anticipated synergies and its planned business-model transformation.

The acquisition will be funded through a combination of committed bank financing and available cash resources. Citi is providing debt financing support for the transaction.

The Road Ahead

The proposed acquisition represents a significant step in the consolidation of advertising technology.

As brands increasingly distribute their budgets across mobile, streaming television, commerce platforms and physical digital screens, technology companies are looking to provide more connected solutions.

For Affle, acquiring Perion could accelerate its international expansion and add new advertising capabilities. For Perion, the deal offers a route into a larger global technology platform while retaining its brand identity.

The next challenge will be execution: integrating products, retaining customers, aligning teams and demonstrating that a broader platform can deliver better results for advertisers.

The bigger picture: Advertising technology is increasingly being shaped by companies that can connect media channels with measurable business outcomes. Affle’s proposed Perion acquisition is a major example of that shift, bringing mobile performance, AI and omnichannel advertising under one strategic umbrella.
